Pardavimo sąlygos

1. Seller and scope

Refracta is sold by Maciej Wróblewski, ul. Wiejska 13, 89-606 Chojniczki, Poland, VAT ID PL5552135203, e-mail: contact@refracta.eu.

Refracta is sold exclusively to businesses (companies, practices, sole traders) acting in the course of their trade or profession. By purchasing, the buyer confirms that it is not a consumer. A VAT number is required at checkout.

2. Product

Refracta is software for documenting eye examinations. It is supplied as digital content: a downloadable program and a licence key that unlocks it. A time-limited trial is available free of charge so that the buyer can test the program before purchase.

Refracta is not a medical device. It stores, organises, calculates and displays data; the clinical assessment is always entered by the user.

3. Licence

On payment the buyer receives a non-exclusive, non-transferable, perpetual licence to use the program, tied to the e-mail address given at purchase. [TO DECIDE: number of devices / users per licence].

The licence includes updates with bug fixes and minor improvements within the purchased major version.

4. Price, VAT and payment

Prices are net prices. Businesses established in Poland are charged 23% Polish VAT. Businesses established in other EU countries with a valid VAT number, and businesses outside the EU, are invoiced without VAT under the reverse-charge mechanism.

Payments are processed by Stripe Payments Europe Ltd. The contract is concluded when the payment is confirmed. For delayed payment methods (e.g. SEPA Direct Debit) the licence key is issued once the payment has been received.

5. Delivery

The licence key is delivered by e-mail, normally within a few minutes of payment confirmation.

6. No right of withdrawal

As the offer is directed exclusively at businesses, the statutory right of withdrawal for consumers does not apply. The buyer can evaluate the program free of charge during the trial period before purchasing. [TO REVIEW: Polish sole traders — Art. 38a of the Polish Consumer Rights Act]

7. Warranty and complaints

The seller ensures that the program works as described on this website. Defects can be reported to contact@refracta.eu; we reply within 14 days and provide a fix or, if that is not possible, a refund. [TO REVIEW: exclusion of statutory warranty between businesses]

8. Liability

The buyer is responsible for the data entered and for making regular backups. The seller's liability is limited to the price paid, except for damage caused intentionally or by gross negligence. [TO REVIEW]

9. Applicable law and jurisdiction

Polish law applies. The court competent for the seller's registered address has jurisdiction.
